Section 01 — Overview

This agreement outlines the terms, expectations, and responsibilities for services provided by Pure Broker Branding.

This engagement is focused on delivering a structured, conversion-focused website designed to position your business, build trust, and drive client acquisition.

By proceeding with this proposal, the client acknowledges and agrees to all terms outlined in this document.

Section 02 — Scope of Services

All services are limited to the scope outlined within this proposal. Any additional requests, features, integrations, or changes outside of the agreed scope may require:

Additional time · Additional cost · A revised agreement

Pure Broker Branding retains full discretion in determining scope boundaries.

Section 03 — Payment Structure

The total project investment is divided into three milestone-based payments:

50% — Project Kickoff
Required upfront to begin all work

30% — Design Approval
Due after initial direction is approved

20% — Final Delivery
Due prior to handoff and launch

Work progresses according to these milestones. No phase begins until the corresponding payment is received.

Section 04 — Payment Terms & Late Policy

Payments are due within 7 days of each invoice being issued.

Late payments may incur a 5–10% late fee. Work may be paused if payment is not received on time.

Accounts overdue beyond 14 days may result in suspension of all project work, withholding of deliverables until the balance is cleared, and temporary website suspension, if applicable.

Section 04B — Small Project Payment Policy

For projects with a total investment under $1,500, full payment is required upfront before work begins.

This structure allows Pure Broker Branding to prioritize smaller engagements efficiently, allocate resources without delay, and deliver faster turnaround times for compact scopes.

Projects exceeding $1,500 follow the milestone-based payment structure outlined in Section 03.

Section 05 — Client Responsibilities

The client agrees to fulfill the following obligations throughout the project:

Provide all necessary content, copy, and assets in a timely manner

Maintain consistent and responsive communication

Review and approve deliverables promptly at each milestone

Delays in communication or asset delivery may directly impact project timelines. Pure Broker Branding is not responsible for delays caused by client unresponsiveness.

Section 06 — Revisions & Scope Control

A reasonable number of revisions is included within the agreed scope.

Excessive revision requests beyond agreed scope may incur additional fees

Major structural changes may require a new project phase

Work may be paused until any additional scope is formally approved

Section 07 — Timeline & Delivery

All timelines are estimates based on project complexity and client responsiveness. Delays may occur due to:

Late or incomplete client feedback · Missing content or assets · Third-party platform dependencies or outages

Pure Broker Branding will communicate any timeline changes promptly and work to maintain agreed delivery windows wherever possible.

Section 08 — Post-Launch Support

A 14-day support window is included following project completion.

Included: Minor fixes and adjustments · Small content updates · Bug corrections

Not included: New features or functionality · Structural or layout changes · Additional pages or sections

Section 09 — Ongoing Maintenance

Ongoing support beyond the 14-day window is available through a monthly maintenance plan, which may include:

Ongoing content updates and edits

Performance monitoring and optimization

Conversion improvement recommendations

Technical support and troubleshooting

Requests outside of the post-launch support window without an active maintenance plan will be scoped and billed separately.

Section 10 — Performance Disclaimer

Pure Broker Branding designs and builds to professional standards with conversion in mind. However, we do not guarantee:

Specific lead volume or quality · Revenue outcomes or growth targets · Business results of any kind

Performance is influenced by external factors including marketing spend, traffic sources, market conditions, and client follow-through.

Section 11 — Third-Party Services

This project may involve third-party tools, platforms, and integrations. Pure Broker Branding is not responsible for:

Downtime, outages, or service interruptions from third-party platforms

Pricing changes or plan modifications by third-party providers

Technical limitations imposed by external integrations

Section 12 — Ownership & Usage Rights

Upon receipt of full and final payment, the client owns all final deliverables.

Pure Broker Branding retains the right to showcase completed work within our portfolio and reference and feature the project in marketing materials.

Section 13 — Project Termination

Either party may terminate this agreement with written notice. In the event of termination:

Payment is due for all work completed up to the termination date

Deposits are non-refundable

A minimum of 50% of the total project cost is due if work has commenced

Section 14 — Rush Requests

Expedited timelines may incur a 20–40% rush fee depending on urgency and resource allocation.

Section 15 — Limitation of Liability

Pure Broker Branding shall not be held liable for:

Loss of revenue, business opportunity, or profits

Indirect, incidental, or consequential damages

Issues arising from third-party systems, tools, or misuse of deliverables

Section 15B — Creative Direction & Strategic Authority

Pure Broker Branding operates as a professional authority in design, user experience, and conversion optimization. Client input, preferences, and feedback are welcomed and actively considered throughout every phase of the project.

Strategic decisions related to layout, user flow, information hierarchy, call-to-action placement, and overall conversion architecture are guided by professional expertise and are made specifically to maximize usability and performance.

Pure Broker Branding reserves the right to maintain key structural and strategic elements that are critical to the effectiveness of the final deliverable. If requested changes are determined to negatively impact performance, usability, or conversion potential, Pure Broker Branding will provide professional guidance and may decline implementation in order to preserve the integrity and effectiveness of the work.

Section 15C — Implementation & Best Practice Standards

All work is executed in accordance with proven best practices and current industry standards. The goal of every decision — design, structure, and copy — is measurable effectiveness, not aesthetic preference alone.

The client acknowledges that optimization decisions are made in direct alignment with usability, performance, and conversion goals, and that these standards are applied consistently throughout the engagement.

Section 16 — Acceptance

By proceeding with this proposal and submitting initial payment, the client confirms full understanding and acceptance of all terms outlined in this Service Agreement.
