Upon receipt of full and final payment, the client owns all final deliverables. However:
- We retain ownership of all preliminary designs and concepts
- Our proprietary design tools, systems, and processes remain our exclusive property
- Stock images and licensed elements are subject to their respective license terms
- Pure Broker Branding retains the right to showcase completed work in our portfolio and marketing materials
3. Client Responsibilities
To ensure successful project delivery, you agree to:
- Provide all necessary content, copy, and assets in a timely manner
- Maintain consistent and responsive communication
- Review and approve deliverables promptly at each milestone
- Ensure all provided content adheres to applicable industry regulations
- Obtain necessary permissions for any third-party content
Delays in communication or asset delivery may directly impact project timelines. Pure Broker Branding is not responsible for delays caused by client unresponsiveness.
4. Compliance & Regulations
While we strive to create compliant designs, you are ultimately responsible for:
- Ensuring compliance with FINRA, SEC, and other applicable regulatory requirements
- Maintaining required disclaimers and disclosures
- Updating content to reflect current regulations
- Obtaining necessary approvals from compliance departments
5. Payment Terms
Projects over $1,500 follow a milestone-based payment structure:
- 50% upfront to secure project kickoff
- 30% due upon design approval
- 20% due prior to final delivery and launch
- Projects under $1,500 require full payment upfront before work begins
Payments are due within 7 days of each invoice. Late payments may incur a 5–10% late fee. Work may be paused on accounts overdue beyond 14 days.
6. Project Timeline
All timelines are estimates based on project complexity and client responsiveness. Delays may occur due to:
- Late or incomplete client feedback
- Missing content or assets
- Third-party platform dependencies or outages
- Rush requests are available and may incur a 20–40% rush fee
Pure Broker Branding will communicate any timeline changes promptly and work to maintain agreed delivery windows wherever possible.
7. Revisions & Scope Control
A reasonable number of revisions is included within the agreed scope.
- Excessive revision requests beyond agreed scope may incur additional fees
- Major structural changes may require a new project phase
- Work may be paused until any additional scope is formally approved
- A 14-day post-launch support window is included for minor fixes and adjustments
8. Confidentiality
We maintain strict confidentiality of:
- Client business information
- Project details and specifications
- Pricing and contract terms
- Client data and analytics
9. Project Termination
Either party may terminate this agreement with written notice. In the event of termination:
- Payment is due for all work completed up to the termination date
- Deposits are non-refundable
- A minimum of 50% of the total project cost is due if work has commenced
- Deliverables are provided upon payment of any outstanding balance
10. Limitation of Liability
Pure Broker Branding shall not be held liable for:
- Loss of revenue, business opportunity, or profits
- Indirect, incidental, or consequential damages
- Issues arising from third-party systems, tools, or misuse of deliverables
- Regulatory compliance issues arising from client-provided content
11. Performance Disclaimer
Pure Broker Branding designs and builds to professional standards with conversion in mind. However, we do not guarantee:
- Specific lead volume or quality
- Revenue outcomes or growth targets
- Business results of any kind
Performance is influenced by external factors including marketing spend, traffic sources, market conditions, and client follow-through.
